These Terms of Service constitute a legally binding agreement made between you and VendorShield ("we," "us," or "our"), concerning your access to and use of our website and services.

You agree that by accessing our services, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are prohibited from using our services and must discontinue use immediately.

2. Services

VendorShield provides cybersecurity services including Vendor Risk Assessment, Threat Intelligence, Dark Web Monitoring, and External Attack Surface Management. Our services are subject to change without notice.

3. Service Access and Account Security

To access some features of our services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for any activities or actions under your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with these requirements.

4. Intellectual Property Rights

Our services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by VendorShield, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

5. Prohibited Uses

You may use our services only for lawful purposes and in accordance with these Terms of Service. You agree not to use our services:

• In any way that violates any applicable federal, state, local, or international law or regulation.

• To impersonate or attempt to impersonate VendorShield, a VendorShield employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of our services, or which, as determined by us, may harm VendorShield or users of our services, or expose them to liability.

6. Termination

We may terminate or suspend your account and bar access to our services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms of Service.

7. Limitation of Liability

In no event will VendorShield, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, our services, including any direct, indirect, special, incidental, consequential, or punitive damages.

8. Governing Law

These Terms of Service and your use of our services shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law principles.

9. Changes to Terms of Service

We may revise and update these Terms of Service from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of our services thereafter.
